Welcome to Corporate Prospects  ("Company," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our software, including any updates, enhancements, new features, and/or the addition of any new services (collectively, the "Services"). By accessing or using the Services, you ("User," "you," or "your") agree to comply with and be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. License and Access

1.1 License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services solely for your internal business purposes.

1.2 Access and Use: You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for all activity under your account and for ensuring your use of the Services complies with all applicable laws and regulations.

1.3 Restrictions: You may not copy, modify, distribute, sell, or lease any part of our Services or software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.

2. User Account

2.1 Account Creation: To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.

2.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or breach of security.

3. Subscription and Payment Terms

3.1 Subscription Plans: The Services are available on an annual subscription basis. You may select from various subscription tiers based on the features and services that best suit your needs.

3.2 Fees: The fees for the Services ("Subscription Fees") will be specified at the time of purchase. You agree to pay all applicable Subscription Fees when due.

3.3 Payment Method: You must provide a valid payment method (e.g., credit card or other approved payment methods) to complete your purchase. By providing a payment method, you authorize us to charge the Subscription Fees to your designated payment method.

3.4 Taxes: All applicable taxes, fees, and other charges are your responsibility and may be added to the cost of the Services.

4. Auto-Renewal Policy

4.1 Auto-Renewal: Your subscription will automatically renew at the end of each annual subscription period unless you cancel your subscription prior to the renewal date. By agreeing to these Terms and subscribing to the Services, you authorize us to charge your payment method for the renewal subscription at the then-current rate.

4.2 Notification of Renewal: Prior to the renewal date, we will provide you with notice of the upcoming auto-renewal, including details of the renewal rate and the date on which your payment method will be charged.

5. Effective of Non-Payment

5.1 Except as required by applicable law, all Subscription Fees are non-refundable. If you fail to pay for the entirety of the fees owed in your subscription, all data from corporate prospects must be deleted from your databases. 

6. Intellectual Property

6.1 Ownership: All content, software, and materials available on the Services, including but not limited to the design, text, graphics, and code, are the intellectual property of the Company or its licensors and are protected by copyright, trademark, and other intellectual property laws. 

6.2 User Content: By submitting content to the Services, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content as part of providing the Services.

7. Termination

7.1 Termination by User:  There is no early termination clause available to the end user. 

7.2 Termination by Company: We may terminate or suspend your access to the Services immediately if you violate these Terms or engage in activities that could harm the Company or other users.

7.3 Effect of Termination: Upon termination of your account, your license to use the Services will immediately cease, and you will lose access to any data associated with your account.

8. Disclaimers and Limitation of Liability

8.1 Disclaimer of Warranties: The Services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 Limitation of Liability: To the fullest extent permitted by applicable law, the Company and its affiliates, directors, employees, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Services, even if the Company has been advised of the possibility of such damages.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state of Georgia, United States without regard to its conflict of law provisions.

10. Changes to the Terms

We reserve the right to modify or update these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of the Services after the posting of changes constitutes your acceptance of such changes.
